1. Agreement to These Terms
Welcome to State Digital Services (“State Digital Services,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) apply to your use of statedigitalservices.com (the “Website”) and to any services we provide to you (the “Services”). By using the Website or engaging us, you agree to these Terms. If you do not agree, please do not use the Website or our Services.
2. Who We Are
State Digital Services
1320 N Lancaster Rd, South Elgin, IL 60177
Phone: 708-550-3644
Email: info@statedigitalservices.com
3. Our Services
We provide digital services for small businesses and households, including website design and development, SEO and digital marketing, IT and device support, email and cloud setup, cybersecurity and data backup, and business software and workflow setup. The scope, timeline, and fees for each engagement are described in a quote, proposal, invoice, or written agreement (an “Order”). If an Order conflicts with these Terms, the Order controls for that engagement.
4. Quotes and Engagements
Quotes are estimates based on the information you give us and are valid for 30 days unless stated otherwise. An engagement begins when you accept an Order in writing (email is fine) and, where required, pay any deposit. Changes to the scope of work may change the price and timeline.
5. Your Responsibilities
You agree to:
- Provide accurate and complete information and respond to requests in a timely manner.
- Make sure you have the authority to give us access to any accounts, devices, or systems we work on.
- Keep your login credentials secure and share only the access we need.
- Back up your data before we work on any system, unless backup is part of your Order.
- Make sure any content you provide is lawful and does not infringe anyone else’s rights.
6. Remote Access and Your Data
If we access your devices, accounts, or systems, you authorize us to do so only to perform the Services. We take reasonable care, but we cannot guarantee that data will never be lost or altered during service work. Please keep your own backups.
7. Fees and Payment
Fees are stated in your Order. Unless the Order says otherwise, invoices are due within 14 days. You are responsible for applicable taxes. Third-party costs such as domains, hosting, software licenses, plugins, stock media, and advertising spend are billed separately unless the Order says they are included. If an invoice is overdue, we may pause work after giving you notice. Refunds are governed by our Refund Policy.
8. Third-Party Products and Services
Some Services rely on third-party software, platforms, or vendors, which are governed by their own terms. We are not responsible for their availability, changes, or performance. All third-party names and trademarks belong to their respective owners, and their mention does not imply affiliation with or endorsement by them.
9. Intellectual Property
The Website’s content, design, text, graphics, and logos belong to State Digital Services and may not be copied or reused without our written permission.
Once you have paid in full, you own the final custom deliverables we create specifically for you, except for (a) third-party materials and licensed components, which remain subject to their own licenses, and (b) our pre-existing tools, templates, code, and know-how, which we keep and license to you on a non-exclusive basis as part of the deliverable. You give us permission to use the materials you provide in order to perform the Services. Unless you tell us in writing not to, we may show completed work in our portfolio.
10. Confidentiality
We treat non-public business information you share with us as confidential and use it only to perform the Services. We may share it only with service providers who need it to help us deliver the Services and are bound to keep it confidential, or when required by law.
11. No Guarantee of Results
We work to a high standard, but we do not guarantee specific outcomes, including search rankings, website traffic, leads, sales, or uptime, because these depend on third parties such as search engines and ad platforms that we do not control. Security services reduce risk but cannot guarantee protection against every threat.
12. Acceptable Use of the Website
You agree not to misuse the Website, including by attempting unauthorized access, uploading malicious code, scraping content, interfering with its operation, or using it for unlawful purposes.
13. Disclaimer of Warranties
To the fullest extent permitted by law, the Website and Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of Liability
To the fullest extent permitted by law, State Digital Services is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the specific Services that gave rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
15. Indemnification
You agree to indemnify and hold harmless State Digital Services from claims, damages, and expenses arising from content you provide, your misuse of the Website or Services, or your violation of law or of a third party’s rights.
16. Termination
Either party may end an engagement with written notice as set out in the Order. You will pay for work performed up to the termination date. We may suspend or end your access to the Website if you violate these Terms. Provisions that by their nature should survive termination will survive.
17. Electronic Communications
You agree that we may contact you by email or phone at the details you provide, regarding your inquiry or Services. We will send text messages only where you have given consent.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. Before starting any legal action, you agree to contact us and try to resolve the issue informally for at least 30 days. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in Illinois.
19. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted on this page with a new “Last updated” date. Continued use of the Website or Services means you accept the updated Terms.
20. General
If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with any Order and our Privacy Policy and Refund Policy, are the entire agreement between you and State Digital Services on their subject matter.
